1. Independent Contractor. Subject to the conditions set out in this Agreement, the Enterprise shall entrust the Contractor, as an independent Contractor, with the provision of the services set out therein and the Contractor shall accept such commitment. 12. Insurance. The holder of liability insurance (including insurance for non-treatment, the guaranteed case) applies to any service he or she provides to the company. This agreement is a form of employment contract used to engage an individual or company to perform a specific and defined task for the employer and contains details such as the type of work, the duration of employment, the rate of pay and any confidential obligations that may exist. This agreement can also be adapted for contractors, consultants or the liberal professions. Individuals or companies that use this document may need to consider the difference between a contractor and an employee. This service contract makes it possible to use a service provider as a contractor. This is different from a contract of employment that would allow the claimant to be employed and would require the provision of all types of benefits under labour law. 6.
Confidentiality. The Contractor acknowledges that he or she has access during the market to various trade secrets, inventions, innovations, processes, information, records and specifications, which are owned or licensed by the Company and/or which are used by the Company in connection with the operation of its business, including, but not limited to, the Company`s business processes and products, Methods, customer lists, accounts, and procedures. The Contractor agrees that he or she will not disclose or use, directly or indirectly, any of the foregoing, either during the term of this Agreement, or at any time thereafter, except as necessary in connection with such engagement with the Company. All files, records, documents, plans, specifications, information, letters, notes, media lists, original works of art/creations, notebooks and similar objects related to the activities of the company, whether created by the contractor or otherwise held, remain the exclusive property of the company. The holder does not keep copies of the foregoing without the prior written permission of the company. Upon the expiration or prior termination of this Agreement or at the request of the Company, the Holder shall immediately provide the Company with all such files, records, documents, specifications, information and other objects in its possession or control.
